PACIFICA is still hiding documents that must be seen by all members !

This was an open letter - sent to National Board PNB, current interim and permanent executive directors of Pacifica, CFO - chief financial officer of Pacifica, et al

[It is quoted here below with a few extra additional emphases, but words unchanged from original ]  

It is being reproduced here to show concerns, questions and continued lack of TRANSPARENCY in urgent, extreme & dire financial solutions to the recent debt, judgment and other WBAI lease arrangements that brought many Pacifica land properties into being mortgaged to cover a loan, to help payments towards the federal court judgment that could otherwise bring down the whole institution & organization of 5 radio stations.

Greetings my PNB !

Pacifica’s 4/5/18 press release announced settlements and agreements on a number of items with respect to Empire State Building and Empire Realty Trust.

This is  my request to make all of the information relative to the matters covered in the 4/5/18 press release public.  By information, I mean any and all legal documents (signed or unsigned) agreements , correspondence, and all communications related to any and all of the matters covered in your 4/5th press release.


These materials  should already have been made available for review/download to listeners, donors , and members of Pacifica. It is beyond troubling to hear board members at the 4/5th PNB meeting state that they had not received or reviewed these documents.

How did these board members cast an informed vote on this high risk loan package without reviewing these documents?  Nancy Pelosi became a laughing stock after suggesting that the Obamacare legislation needed to be passed and passed in a hurry—so she and others could learn what’s in it.  Why model that at Pacifica?

F. G.  wrote an alarmingly negative review of the loan proposal,  raising all kinds of questions. All of them need to be answered, not in glib monologues during a PNB meeting, but point by point. 


With the opportunity for us little folk to engage you in Q&A. A lot of dressed up A  with non existent Q is worthless.

But as skeptical and concerned Pacificans you know all that.  One criticism that really alarmed  me was Ford’s stating that Pacifica is barred from entering bankruptcy (should the need arise) under the loan agreement. Please explain how this could have possibly been agreed to by you?

When it comes to Pacifica, I’m a cynic. My cynicism tells me that shaking  ALL OF this information loose from you—the folks who approved it, signed it and set Pacifica on this path to acquiring ?  about 4 million in debt will not be easy. Partial releases, hiding documents, must seem so easy, so attractive, when there are hundreds of pages in play. 


Being requested. But trained, forensic reviewers always find them. One way or another.  But you know this too.    An easy way to get these records is to subpoena them. But let’s try the hard way first. And ask that people hew to their better selves.

Despite secret meetings and secret agreements, like so many scandals, Watergate for example, the truth will out. Justice will be delivered. By a system far less forgiving than the largely apathetic listener base you, fortunately for you, are being asked to answer to.

Just remember: it only takes a few dogged people to prosecute these matters, and turn lights on in a kitchen such that all its denizens and cronies run for cover. Would that Pacificans were not litigious. But even that fig leaf of a hope isn’t available. 


Especially to cover up things.  It is a mistake to play ALL of us for a fool.
Please make plain where these documents,ALL NOT PART, can be reviewed, downloaded and read by Pacifica members and their legal representatives.

This letter should not have been necessary. The document release is days overdue. Pacificans love to call out people and institutions and demand full release and transparency. I and many others are now demanding the same of you. 


This is your time. Emulate your  heroes—the risk of an Ellsberg, the bravery of a John Dean, the sunlight ....., the covert courage of Bradley Manning and on and on.

This is your time. Time to model your heroes. Honor truth.  So many questions abound. Questions from us, who I like to call “the peons.”  Give us, the voiceless compared to you, functioning vocal cords and air in our lungs to drive them!!  Help us as we now speak/ask truth to Power =  (that would be you!!).

Many of these questions appear at Radio Waves—a [email] Group familiar to you. Excellent questions, questions neglected and crying for answers, are being asked by  K—she’s given years of tears and sweat and blood trying to help Pacifica. She’s been disrespected and humiliated and mocked, by and large by Pacifica. Ironically, that treatment, in a sense, is Pacifica’s highest compliment.

Judging from K’s latest posts, she’s not received even the basic courtesy of a reply.. That is wrong, Tom. And you know that. You stand for fairness. You know that one of the most anger provoking scenarios in life is screaming out questions and concerns and being utterly ignored. Like an infant begging for his mom to attend to him and being fully ignored.

To a cynic, it makes it look like you can’t answer. Or are hiding things. Let me appeal to you—don’t cover up. As a Pacifica cynic, I’d normally recommend it, but for the fact that it never ends well.

But as a frequent critic of society and fierce advocate of holding those in power (the fascists as Travis is wont to call them) accountable, you know all this.   You’ll find K’s emails at the Waves or ask me and I’ll ask her to send them to you, yet again.  But there shouldn’t be a need. They’re in your email box. I’m sure you’ve seen them.

Answers to her and anyone else’s questions is necessary. But it is not sufficient to the many of us who want to review ALL of the documents.Of the many questions, I think  this one is central: What will it take for you,    Pacifica’s board of directors to, ... be true to what you say loudly and demand if others, with your so frequently raised voices.

Section B. and maybe C. as well appear to be the most relevant ones, if the Attorney General receives a copy of the settlement with ESRT.

In Section B, a member has a right to “inspect at any reasonable time the books, records, or minutes…”  This statement is quite clear to me.  I don’t think a member should have to sue Pacifica to see the agreement.  I think if the PNB wants Pacifica members to thank them for this settlement, they should make available copies of the settlement for members who request one.  This is particularly true at a time when the board requests that the members patience and financial and other assistance when trying to rebuild the network.
Now is the time for the PNB to include rather than exclude members from the decision making process.  "                                 [snip]


Article Twelve, Corporate Records, Report and Seal, Section 4: Members: Inspection Rights
Members of the Foundation shall have the following inspection rights, but only for a purpose reasonably related to such person's interests as a Member of the Foundation, and subject to the Foundation's right to provide a reasonable alternative method for achieving the Member's articulated purpose:

A. To inspect and copy the record of all Members' names, addresses and voting rights, at reasonable times, upon five (5) business days' prior written demand on the Foundation, which demand shall state the purpose for which the inspection rights are requested. Where the Foundation reasonably believes that the information will be used for an improper purpose, or where the Foundation provides a reasonable alternative to achieve the Member's articulated purpose, the Foundation may deny the Member access to its membership list and information;

B. To inspect at any reasonable time the books, records, or minutes of proceedings of the Members or of the Board or committees of the Board, upon written demand on the Foundation by the Member, for a purpose reasonably related to such person's interests as a Member, provided, however, that said Member will not be permitted to review sealed Minutes from closed meetings; and
C. To inspect and review copies of reports filed by the Foundation with the Attorney General consistent with Section 6324 of the California Corporations Code.      "

They usually avoid anyone who may want to claim some Rights to Questioning their non-representatives on PNB or LSB or staff....pretending to hide behind no-replies, no acknowledgements to voice mails, or emails, holed up in their privileged on-air-access niches.

NO one has ever bothered to reply or explain anything for many years of my asking any questions, mundane ones or pertinent to their management ones either.

It takes so much time, effort, work to even TRY to communicate or be heard, even tho the fake-claim of "freedom", "open", owned by listeners / members, and all that BS that is not operational, actual nor reality at Pacifica- anywhere that I have seen or heard.

Even their in-group emails are non-responsible and non-responsive to questions asked, except for maybe 1-2 people who tend to care enough to reply there.

why some continue to stay loyal or care if they drown in their chaotic ineptness or if they continue emphasizing miniority-victims-mainly, plus some music to relieve the pains, is not clearly understood - by any others who also complain, as many do here at this blog too.

there must be some secret yearning for their ideals and words to COME TRUE vs. just be blather, repeated cliches, and fake lures for money $$$. I guess..."
